Qualifications

Mr. Mohamed Selim obtained his LLB from Cairo University in 2012, Faculty of Law (English Department) and is a certified appellate lawyer by the Egyptian Bar Association.

Biography

As a full-service corporate attorney, Mr. Selim is experienced in drafting and reviewing different commercial contracts such as EPC contracts, technology transfer agreements, loan agreements, franchising agreements, shareholders’ agreements, and real estate agreements.

Mr. Selim has a comprehensive knowledge of mergers and acquisitions in Egypt due to his extensive experience in the field. He has also regularly provided clients with legal advice on complex share transactions, working closely with Misr for Central Clearing, Depository and Registry to ensure proper compliance and transaction success.

Mr. Selim’s working languages are Arabic and English.

Representative Experience

-Drafting, reviewing, and negotiating a variety of commercial contracts including, but not limited to, EPC, technology transfer, employment, supply, service, franchise, SPAs, SHAs, Lease Agreements, etc. on behalf of local and international clients.

-Specialized in corporate transactional matters and regularly engaged to represent various corporations and financial institutions in a wide variety of corporate matters including, but not limited to, corporate restructuring, mergers, and acquisitions “M&As” and corporate governance matters.

-Represented the Saudi Government in negotiating and reviewing a 1.6 billion SAR Contract with a joint venture, which has been signed on June 2018, during 7-month negotiations with the counterparty.

-Represented a well-known Investment Fund in acquiring a percentage of an Egyptian company`s share capital (prepared the Due Diligence report, the Shareholders Agreement, and the SPAs and led the negotiations with the Seller).

-Advised a Major Multinational Electronic Payment Services Company about its USD 28 million Service Agreement with an Egyptian Bank. Advised such a Company regarding compliance with the Central Bank of Egypt “CBE” regulations in connection with the performance of electronic payment services in Egypt.

-Represented a multinational financial corporation with several loan agreements with Egyptian banks.

-Advising several Egyptian banks in obtaining facilities and finance from multinational financial corporations. -Advised foreign companies working on major construction projects in Egypt regarding the amendment of the EPC Contracts and preparing Subcontracting Agreements.

-Represented two foreign companies working in Benban Solar Energy Project, Aswan, reviewed their EPC Contracts, prepared Subcontracting Agreements and other contracts, and advised them about their business and legal position in Egypt, especially those related to compliance with the Egyptian Labor and Social Insurance Laws.

-Advised an Egyptian Bank on a 100 million USD Loan Transfer Agreement. -Represented an American NGO in its various contracts with the UAE Government and a company owned by the Saudi Government.

-Advised an American major corporation on a contract with the Egyptian Government.

-Represent Egyptian banks in all transactions with multinational corporations, reviewing contracts and providing accurate legal advice and legal opinions about their transactions inside and outside Egypt.

-Advising a multinational company regarding constructing and operating a national strategic project.

-Advising a multinational company in its operation of Public Facilities.

-Represented a major hotel management group of companies in reviewing management agreements and compliance with Egyptian laws.
