Biography

Mahmoud Hamrouch is an Associate lawyer specialized in corporate, litigation, and arbitration, with extensive experience in commercial litigation, arbitration, corporate advisory, and cross-border legal matters. He advises multinational corporations and major business entities on a broad range of contentious and non-contentious matters, with particular focus on commercial disputes, contract drafting and review, regulatory compliance, and transactional work.

Throughout his practice, Mahmoud has represented clients before Egyptian courts and has coordinated cross-border disputes with foreign counsel, particularly in Gabon. He has extensive expertise in handling commercial litigation matters, drafting legal memoranda, appeal briefs, legal notices, and conducting legal research under Egyptian, Moroccan, and Gabonese laws.

He also has practical experience in arbitration proceedings before the Cairo Regional Centre for International Commercial Arbitration (CRCICA) and in matters relating to International Centre for Settlement of Investment Disputes (ICSID), including BIT and Arbitration notices, memorial drafting, arbitration submissions, legal research on substantive and international law, and enforcement proceedings of arbitral awards before Egyptian courts.

Mahmoud has worked on a wide range of corporate and commercial matters, including the drafting and review of Share Purchase Agreements (SPAs) and Shareholders Agreements (SHA), franchise agreements for major food and beverage companies, commercial contracts, and corporate governance documentation and advice.

He also has extensive experience in corporate regulatory matters, including the drafting, review, attendance, and ratification of Board of Directors (BOD), Extraordinary General Meetings (EGM), and Ordinary General Meetings (OGM) resolutions and minutes. In addition, he has experience in the incorporation and structuring of Joint Stock companies and limited liability companies before the General Authority for Investment and Free Zones (GAFI).

Mahmoud possesses more than three years of experience in tendering and procurement matters within the electricity and renewable energy sectors, including contract review, tender documentation, regulatory compliance, and transactional support relating to energy projects and infrastructure matters, in addition to onsite survey for High Voltage Substation and Transmission lines projects in Mali and Mauritania, and communication with the Electric Ministry of Mauritania “Société Mauritanienne d’Electricité” (SOMELEC)

Mahmoud also has over five years of professional experience in legal translation, specializing in legal, corporate, arbitration, and tendering documents in Arabic, English, and French.
