Dr. Mohamed Abo Ghazala is a senior corporate and commercial legal advisor with over 19 years of experience advising local, regional, and international clients on complex corporate transactions, mergers and acquisitions, joint ventures, industrial investments, regulatory compliance, corporate governance, and high-value commercial arrangements across Egypt and the MENA region.

 

Dr. Abo Ghazala has extensive experience in structuring and implementing strategic investment projects, particularly in the industrial, energy, petrochemicals, manufacturing, healthcare, agriculture, technology, mining, education, hospitality, and infrastructure-related sectors. His practice covers the full lifecycle of corporate and investment transactions, including legal structuring, company incorporation, shareholders’ agreements, memoranda of understanding, share purchase agreements, joint venture arrangements, due diligence, regulatory filings, licensing, board and general assembly procedures, corporate governance, and post-incorporation compliance.

 

He served as Head of Legal / Legal Technical Director for International Investments under the Presidential Initiative for the Development of Egyptian Industry, EBDA, where he played a key role in supporting the legal structuring and negotiation of major industrial localization projects. During his tenure, he contributed to negotiations involving approximately 76 strategic projects with an aggregate investment value reported at approximately USD 100 billion, supported the establishment of 25 Egyptian joint stock companies, and contributed to the drafting and negotiation of numerous shareholders’ agreements, memoranda of understanding, protocols, framework agreements, and other transaction-related documents.

 

Dr. Abo Ghazala also has significant experience advising on corporate restructuring, group reorganizations, distressed business solutions, operational compliance, and business continuity matters. His work includes restructuring multi-entity business groups under holding company structures, consolidating operating vehicles, rationalizing corporate ownership, organizing internal workflows, managing post-restructuring compliance, supporting trademark registration and brand protection, and advising on safe closure and orderly wind-down strategies.

 

He regularly advises clients on corporate governance, regulatory and licensing matters, investment structuring, shareholder relations, commercial contracts, banking and financing support, restructuring matters, and legal risk mitigation. He has advised clients and projects involving Egypt, the GCC, Europe, Canada, China, and other cross-border jurisdictions, including foreign investors seeking to establish, acquire, restructure, or expand their operations in Egypt.

 

Dr. Abo Ghazala holds a PhD in Law from Ain Shams University, a Master’s degree in Administrative Sciences from Cairo University, and an LL.B. from Helwan University. He combines strong academic credentials with extensive practical transactional experience, enabling him to provide commercially focused legal advice on complex corporate, regulatory, and investment matters.

Industrial Investments, Manufacturing & Strategic Localization Projects

 

  • –  Advised on the establishment of MSE for Air Conditioning Industries and drafted the shareholders’ agreement between Al Safi for Industrial Investment and MG Technic for Engineering Industries, including post-incorporation compliance matters and support in relation to banking documentary credit arrangements of approximately USD 25 million for the importation of VRF central air-conditioning system components for the Platinum District project in New Alamein.
  • –  Contributed to the establishment, corporate structuring, shareholders’ agreement, and compliance procedures of MSE for Metal Industries, with reported investments of approximately EGP 1 billion.
  • –  Advised on the establishment of PICO for Heavy Machinery Assembly in partnership with Tawfik Diab, including post-incorporation compliance and corporate follow-up matters.
  • –  Advised on the establishment and shareholders’ agreement of Linda Pipes Manufacturing Company, with a reported capital/investment value of approximately EGP 1.461 billion.
  • –  Contributed to the establishment of the Modern Egyptian Company for Engine Manufacturing Technology, with reported investments of approximately USD 16 million, in partnership with Al Hawa Group, including incorporation and compliance matters.
  • Advised on the establishment of Copreci Egypt for Gas Safety Valve Manufacturing in partnership with the Spanish company Copreci, with paid-in capital of approximately EGP 132 million, including the shareholders’ agreement and related compliance procedures.
  • Participated in negotiations relating to a gas safety valve manufacturing project with Toras Turkey, Fresh, and El Araby, with reported investments of approximately EGP 66 million.
  • Contributed to the establishment of Lighthouse, with reported investments of approximately EGP 300 million, in cooperation with Elsewedy Electric.
  • –  Contributed to the establishment of Raja EBDA Feeding Industries in partnership with Rajamec, with reported investments of approximately EGP 157 million.
  • –  Contributed to the establishment of EBDA Cast Iron Stove Components Manufacturing Company, with paid-in capital of approximately EGP 36 million, in partnership with Fresh.
  • –  Contributed to the establishment, full compliance procedures, and shareholders’ agreement of a UPVC manufacturing company, with reported investments of approximately EGP 152 million.
  • –  Contributed to the establishment of a Light Transportation Industries Complex in partnership with Al Hawa Group and a Chinese technology partner, with reported investments of approximately EGP 3.5 billion.
  • –  Contributed to the establishment, compliance procedures, and shareholders’ agreement of CPT for Electric Power Generator Manufacturing.

 

Mergers, Acquisitions & Strategic Equity Transactions

 

  • –  Contributed to the acquisition of approximately 45% of the share capital of Alweiler Farid Hassanein Pumps Company, including drafting the shareholders’ agreement and supporting the transaction through completion.
  • –  Contributed to the acquisition of the public business sector’s stake in Concord for Spiral Pipes Manufacturing, with a reported investment value of approximately EGP 1 billion, including drafting the acquisition agreement and completing the related acquisition procedures.
  • –  Contributed to the acquisition of approximately 75% of the public business sector’s stake in the Egyptian Company for Carbon Anode Blocks, with a reported transaction value of approximately USD 4.35 million, including drafting the acquisition agreement, assisting with the management of banking attachments, and supporting financing arrangements of approximately EGP 60 million to regularize the company’s position and restart its operating cycle.
  • –  Participated in negotiations relating to the proposed acquisition of GWP, a tuna manufacturing company in Panama.

 

Corporate Restructuring, Group Reorganization & Operational Compliance

 

  • –  Contributed to the restructuring of Al Assema Group for Feed Companies, including supporting negotiations and implementation of practical solutions with banks, assisting the working team in securing short-term facilities of approximately EGP 500 million from the National Bank of Egypt to finance working capital and raw material purchases, and supporting the arrangement of approximately USD 350,000 to restart the poultry project.
  • –  Advised on a comprehensive legal and corporate restructuring project for a restaurant group operating under the Brisk & Bro, Balknz, and Steaky brands, covering approximately nine restaurant branches and four limited liability companies. The restructuring included designing a new group structure through a holding company to consolidate ownership of the group, streamlining the operating model by retaining a dedicated operations company and cloud kitchen structure, assessing the merger or rationalization of existing entities, implementing post-restructuring compliance procedures, organizing internal workflows, and supporting the registration and protection of the group’s trademarks and brand portfolio.
  • –  Contributed to the restructuring of Al Hilal and Al Negma Group for Plastic Products.
  • –  Assisted in managing legal and banking issues affecting the Egyptian Company for Carbon Anode Blocks, including banking attachments and financing arrangements required to settle its position and resume operations.
  • –  Advised on the safe legal closure and orderly wind-down of the Egyptian operations of an international non-profit organization, including regulatory, employment, contractual, governance, and compliance aspects.

 

Energy, Oil & Gas, Petrochemicals & Mining

 

  • –  Contributed to the establishment of Alamein Petrochemicals Company in partnership with companies affiliated with the Egyptian Ministry of Petroleum and Mineral Resources.
  • –  Contributed to the establishment and shareholders’ agreement of the Egyptian Soda Ash Company, with reported investments of approximately EGP 550 million, in partnership with ECHEM and the Egyptian General Petroleum Corporation.
  • –  Contributed to the establishment, compliance procedures, and shareholders’ agreement of Alamein Silicon Production Company, with reported investments of approximately EGP 180 million, under a similar partnership structure.
  • –  Contributed to the establishment of Pacific Egypt for Mining.

 

Industrial Partnerships, Technology Transfer & Licensing

 

  • –  Led negotiations relating to an HDF wood manufacturing project in partnership with Atico Wood Factory, affiliated with the Arab Organization for Industrialization.
  • –  Participated in negotiations for the El Araby air-conditioning compressor project with a Taiwanese technology partner, with reported investments of approximately EGP 1.1 billion, including assistance with land allocation in Beni Suef Governorate and support in obtaining the project’s Golden License.
  • –  Participated in negotiations for a contact lenses manufacturing project with a Korean technology partner, with reported investments of approximately EGP 63 million, including drafting the shareholders’ agreement.
  • –  Participated in negotiations for the Fondy footwear manufacturing project, with reported investments of approximately EGP 200 million, including drafting the shareholders’ agreement.
  • –  Advised on the establishment and shareholders’ agreement of Nova for Industrial Development in partnership with Hassan Allam Group, including support in relation to land allocation and resolving project-related issues for the manufacturing of water desalination components.

 

Healthcare, Pharmaceuticals & Medical Industries

 

  • –  Contributed to the establishment of Pharma Tao for Pharmaceutical Services, with reported investments of approximately EGP 1.18 billion.
  • –  Contributed to corporate and legal structuring matters relating to Herbal for Medicinal Plants and Citro Egypt for Pharmaceutical Industries.
  • –  Provided corporate, regulatory, and day-to-day legal support to healthcare and pharmaceutical-sector clients, including 57357 Hospital and pharmaceutical businesses operating in Egypt and China.

 

Agriculture, Poultry, Food Security & FMCG

 

  • –  Provided legal support and compliance advice to Watania Poultry Group in Egypt, Sulaiman Al Rajhi Poultry Group in Saudi Arabia, and Al Rajhi International for Agricultural Investment.
  • –  Supported corporate restructuring and banking arrangements for feed and poultry businesses, including operational financing and working capital solutions.
  • –  Participated in negotiations relating to the proposed acquisition of GWP, a tuna manufacturing company in Panama.
